1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FLH Logistics LLC ("Company," "we," "us," or "our") governing your access to and use of our mobile applications, websites, and services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must be at least 13 years of age (or the applicable age of majority in your jurisdiction). By using our Services, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or use of your account

You may register using your email address or through third-party OAuth providers such as Apple Sign-In or Google Sign-In. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.

4. Subscription Services and Billing

4.1 Subscription Plans

Our Services may include free features as well as premium subscription plans ("Pro" and "Pro+"). Subscription plans provide access to enhanced features and functionality as described in our applications.

4.2 Payment and Billing

All subscription purchases are processed through Apple's App Store. By subscribing to a premium plan, you agree to:

  • Pay all applicable subscription fees as displayed at the time of purchase
  • Apple's terms and conditions for in-app purchases
  • Authorize recurring charges to your payment method

Subscription fees are billed in advance on a recurring basis (weekly, monthly, or annually, depending on the plan selected). Prices are subject to change with notice.

4.3 Free Trials

We may offer free trial periods for our subscription services. At the end of the free trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You may cancel during the trial period at no charge.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel auto-renewal at least 24 hours before the current period ends. Your account will be charged for renewal within 24 hours prior to the end of the current period.

4.5 Cancellation and Refunds

You may cancel your subscription at any time through your Apple App Store account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to premium features until then.

Refunds are handled according to Apple's refund policies. We do not provide direct refunds for subscription fees. If you believe you are entitled to a refund, please contact Apple Support.

4.6 Changes to Subscription Plans

We reserve the right to modify, discontinue, or change our subscription plans, features, or pricing at any time. We will provide reasonable notice of material changes. Your continued use of the Services after such changes constitutes acceptance of the new terms.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services for any illegal, fraudulent, or unauthorized purpose
  • Attempt to gain unauthorized access to any portion of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Copy, modify, distribute, or create derivative works of the Services
  • Use automated systems (bots, scrapers) to access the Services
  • Transmit viruses, malware, or other harmful code
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Use the Services to send spam or unsolicited communications

6. Intellectual Property

6.1 Our Intellectual Property

The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, and design) are owned by FLH Logistics LLC, its licensors, or other providers of such material and are protected by copyright, trademark, patent, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:

  • Modify or copy the Services or any content
  • Use the Services for commercial purposes
  • Transfer or assign your rights under this license

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy, reliability, or completeness of any information provided through the Services.

The information provided through our Services, including but not limited to market data, signals, and analytics, is for informational purposes only and should not be construed as financial, investment, or trading advice. You acknowledge that any decisions you make based on information from our Services are at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLH LOGISTICS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless FLH Logistics LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services
  • Your violation of any third-party rights
  • Any content you submit or transmit through the Services

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

  • Your right to use the Services will immediately cease
  • We may delete your account and all associated data
  • All provisions of these Terms that should survive termination shall survive

You may terminate your account at any time by discontinuing use of the Services and canceling any active subscriptions through the App Store.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against FLH Logistics LLC.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and FLH Logistics LLC regarding the Services and supersede all prior agreements and understandings.
